Acceptance of These Terms

These Terms of Use (“Terms”) are a binding agreement between you and Eko Mind AI LLC, a Delaware limited liability company.

They govern your access to and use of the Eko Mind AI website, mobile applications for iOS and Android, and all related content, features, and services (collectively, the “Services”).

By creating an account, accepting these Terms, downloading the Eko application, purchasing a subscription, or otherwise accessing or using the Services, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not access or use the Services.

Eligibility

You must be at least 18 years old and have reached the age of legal majority in your jurisdiction of residence to create an account, use the Services, or purchase a subscription.

If the age of legal majority in your jurisdiction is higher than 18, you must have reached that higher age.

By using Eko, you represent that you meet these requirements and are legally able to enter into these Terms. Eko does not knowingly provide the Services to minors.

What Eko Is

Eko is an AI-powered general wellness companion designed to support self-care, self-reflection, mindfulness, meditation, relaxation, sleep and focus support, mental performance, guided exercises, and other aspects of general well-being.

Some content may be inspired by evidence-informed psychological and wellness practices.

Eko is not a healthcare provider :

Eko is an artificial intelligence system, not a human, therapist, psychologist, psychotherapist, physician, or other licensed professional.

Eko does not provide therapy, psychotherapy, diagnosis, medical treatment, psychiatric care, or professional medical or psychological advice.

Using Eko does not create a doctor-patient, therapist-client, psychologist-patient, or other professional-care relationship.

Eko is not a substitute for qualified professional care. If you have a medical or mental-health concern, you should seek advice from an appropriately qualified professional.

Emergencies and Crisis Situations

Eko is not an emergency service or crisis intervention service.

The Services are not designed for emergency situations, suicide prevention, or real-time safety monitoring. Eko is not continuously monitored by a human and cannot dispatch emergency services, contact your family or healthcare provider, locate you, or guarantee that dangerous situations will be detected or handled correctly.

If you or another person may be in immediate danger, may harm themselves or someone else, or is experiencing a medical or psychological emergency, stop using Eko and contact the emergency services or crisis resources available where you are located. Do not wait for a response from Eko.

Eko may display automated safety or crisis messages when certain language or patterns are detected. These messages are safeguards only and do not constitute a professional risk assessment or guarantee of safety.

AI-Generated Content

Eko uses artificial intelligence and automated systems. When using the Services, you are interacting with AI, not a human.

Conversational responses, recommendations, classifications, audio selections, and other content may be generated or selected by AI rather than by a human professional.

AI-generated content may be:

inaccurate or incomplete;
inconsistent or outdated;
repetitive or inappropriate;
unsuitable for your particular situation; or
similar to content generated for other users.

You should use your own judgment and independently verify important information.

AI Output should not be relied upon when making decisions concerning medical or psychological care, medication, emergencies, personal safety, legal rights, finances, employment, or any other matter where an error could cause material harm.

Eko may personalize AI-generated content using information you provide, your activity within the Services, your preferences, prior interactions, and optional connected data. Personalization does not make an AI output a diagnosis, professional recommendation, or guarantee that it is suitable or safe.

Safe Use of Audio and Exercises

Eko may provide guided relaxation, meditation, breathwork, hypnosis-inspired audio, and similar exercises.

Use these features only in an appropriate and safe environment.

Do not use them while driving, operating machinery, swimming, bathing, supervising an activity requiring continuous attention, or engaging in another activity where reduced alertness could create a risk.

Stop an exercise if you feel unsafe, unusually distressed, disoriented, faint, short of breath, or otherwise unwell. If you are uncertain whether an exercise is appropriate for you, consult a qualified professional.

Your Account

You agree to provide accurate and current information when creating your account and to keep that information updated.

You may not impersonate another person or transfer or sell your account.

You are responsible for keeping your login credentials confidential and for activity conducted through your account, except where responsibility results from Eko’s breach of applicable law.

If you suspect unauthorized access to your account, contact us promptly at info@ekomind.ai.

Account deletion and subscription cancellation :

Deleting the Eko application or requesting deletion of your Eko account does not automatically cancel an App Store subscription.

Likewise, cancelling an App Store subscription does not automatically delete your Eko account or associated data.

These actions must be managed separately.

Subscriptions and Payments

Some Eko features may require a paid subscription.

Subscriptions are available exclusively through the Apple App Store or Google Play. Eko does not sell subscriptions directly through its website.

Before purchasing, the applicable App Store will display the subscription price, billing period, included features, trial or promotional period, and other applicable purchase terms.

Automatic renewal :

Subscriptions automatically renew for successive periods of the same duration unless cancelled through the applicable App Store before the renewal deadline.

Cancellation :

You can cancel your subscription through your Apple App Store or Google Play subscription settings.

Unless applicable law or the App Store’s rules provide otherwise, cancellation takes effect at the end of the current paid billing period.

Deleting the app, stopping use of Eko, or deleting your Eko account does not cancel your subscription.

Refunds :

Refund requests, payment errors, cancellations, and other billing matters relating to App Store purchases must generally be handled through Apple or Google in accordance with their applicable procedures.

Nothing in these Terms limits any refund right, withdrawal right, consumer guarantee, or other remedy that cannot legally be excluded.

Health and Connected Data

Eko may allow you to connect services such as Apple Health, Google Health Connect, wearable devices, or other third-party services.

These connections are optional.

Connected information may include data relating to activity, sleep, heart rate, and other wellness-related information, depending on the services and permissions you choose to enable.

Connected data may be delayed, estimated, incomplete, or inaccurate. Any scores, trends, alerts, baselines, or interpretations provided by Eko are intended as general wellness information, not clinical measurements, diagnoses, or medical advice.

You must not use Eko or connected data to detect or manage an emergency, determine whether you have a health condition, or decide whether to begin, stop, or change professional care.

User Content

You retain your rights in the content you provide through Eko, including your conversations, journal entries, recordings, transcripts, preferences, and feedback.

Eko does not claim ownership of your private User Content simply because you use the Services.

However, you grant Eko and its service providers a limited license to host, reproduce, transmit, convert, transcribe, analyze, and otherwise process your User Content when reasonably necessary to provide, personalize, maintain, secure, and support the Services, comply with the law, enforce these Terms, and carry out the practices described in the Privacy Policy.

Any use of User Content to train or improve AI models is governed by the Privacy Policy, the choices made available to you, and any consent required by law.

You are responsible for ensuring that you have the necessary rights and permissions to provide any User Content you submit.

Acceptable Use

You may not use Eko to:

violate applicable laws or another person’s rights;
threaten, exploit, abuse, harass, stalk, defame, or facilitate harm;
distribute unlawful, infringing, malicious, deceptive, or privacy-invasive content;
impersonate another person or misrepresent your identity or qualifications;
provide therapy, healthcare, crisis intervention, diagnosis, treatment, or professional decision-making services to another person through Eko;
make automated or high-impact decisions concerning another person’s health, employment, insurance, credit, education, or legal rights;
reverse engineer, scrape, copy, or extract the Services or their underlying technology except where legally permitted;
use unauthorized bots or automated access methods;
bypass access controls, subscription checks, usage limits, or safety systems;
interfere with or disrupt the Services; or
use Eko to develop or benchmark a competing model, service, or dataset without written permission.

Eko may restrict or remove User Content that violates these Terms or applicable law, creates a security risk, or threatens the rights or safety of Eko, its users, or others.

Intellectual Property

The Eko Services, including their software, interface, design, branding, trademarks, databases, curated content, audio library, algorithms, and underlying technology, are owned by Eko Mind AI LLC or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, Eko grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Services for your own non-commercial wellness purposes on devices you own or control.

AI Output and generated audio :

Subject to these Terms and applicable law, you may use AI Output and audio generated specifically for you for personal, non-commercial purposes.

Eko does not guarantee that AI Output is eligible for intellectual-property protection, unique to you, or free from similarity to content generated for others.

Third-Party Services

Eko may depend on or connect with third-party services, including:

Apple App Store and Google Play;
operating systems;
AI and voice technology providers;
analytics and infrastructure providers;
health platforms;
wearable devices; and
external websites or services.

Third-party products and services are governed by their own terms and privacy policies.

Eko is not responsible for the independent acts, systems, availability, accuracy, or data practices of third parties, except where applicable law does not allow such responsibility to be excluded.

Availability and Changes to the Services

Eko may maintain, update, modify, suspend, or discontinue all or part of the Services.

Availability may vary depending on your device, operating system, language, country, subscription plan, or App Store.

Eko does not guarantee uninterrupted availability, perfect security, retention of every conversation, or compatibility with every device or third-party service.

You may need to install application or operating-system updates to continue using the Services.

If a change materially and negatively affects a paid Service, Eko will provide any notice, continued-access option, termination right, refund, or other remedy required by applicable law.

Suspension and Termination

You may stop using Eko at any time and may request deletion of your account through the methods provided in the Services or Privacy Policy.

Eko may suspend, restrict, or terminate access if it reasonably believes that you have materially or repeatedly violated these Terms, created a safety or security risk, used the Services unlawfully, failed to pay through the App Store, or if suspension is reasonably necessary to comply with the law or protect Eko, its users, or others.

When access ends, the license granted to you under these Terms ends. Certain provisions, including those concerning ownership, payment obligations, disclaimers, liability, and dispute resolution, continue to apply where appropriate.

Disclaimer of Warranties

To the maximum extent permitted by law, the Services and AI Output are provided “as is” and “as available.”

Eko does not guarantee that the Services will be uninterrupted, error-free, secure, suitable for your needs, or free from harmful components.

Eko also does not guarantee that AI Output or connected data will be accurate, complete, safe, or effective.

Nothing in these Terms excludes or limits any warranty, consumer guarantee, or other right that cannot legally be excluded or limited.

Limitation of Liability

To the maximum extent permitted by law, Eko and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for losses such as lost profits, revenue, business, opportunity, goodwill, or data arising from or related to the Services or these Terms.

To the maximum extent permitted by law, Eko’s total aggregate liability for claims arising from or related to the Services or these Terms will not exceed the greater of:

(a) USD $100; or
(b) the amount you paid for the Services through the applicable App Store during the 12 months preceding the event giving rise to the claim.

These limitations do not apply where applicable law prohibits them, including certain liability relating to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, mandatory data-protection obligations, or non-waivable consumer rights.

Indemnification

To the maximum extent permitted by law, you agree to defend and indemnify Eko and its affiliates, officers, employees, contractors, licensors, and service providers against third-party claims, losses, liabilities, damages, penalties, and reasonable legal costs arising from your unlawful misuse of the Services, material violation of these Terms, or User Content that infringes another person’s rights.

This obligation does not apply to the extent prohibited by applicable consumer law or to claims caused by Eko’s own conduct.

Apple App Store

If you use the Eko iOS application, these Terms are between you and Eko, not Apple.

Eko, rather than Apple, is responsible for the application, its content, maintenance, support, and applicable claims relating to the application.

Apple and its subsidiaries are third-party beneficiaries of the applicable provisions of these Terms and may enforce those provisions against you.

Google Play

If you use Eko through Google Play, these Terms are between you and Eko, not Google.

Your use of Google Play and its billing system is also governed by Google’s applicable terms.

Where these Terms conflict with mandatory Google Play terms concerning your use of Google Play, the applicable Google Play terms control to the extent of the conflict.

Dispute Resolution

For users residing in the United States, certain disputes are subject to a binding individual arbitration agreement and class-action waiver, subject to the exceptions and limitations described in the full Terms of Service.

Before initiating arbitration or litigation, the parties must generally attempt to resolve the dispute informally through a written notice and a 60-day resolution period.

Certain claims may instead be brought in small claims court or in court where applicable law permits or requires it.

These arbitration provisions do not apply to consumers in the European Economic Area or United Kingdom.

Governing Law

Except where otherwise provided by applicable consumer law or the dispute-resolution provisions of these Terms, the Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

Nothing in these Terms deprives consumers of mandatory protections granted by the law of the country or region where they habitually reside.

Regional Consumer Rights

Eko recognizes that consumers in certain jurisdictions have mandatory rights that cannot be waived by contract.

European Economic Area and United Kingdom :

Consumers in the EEA and UK retain applicable statutory rights relating to digital content and digital services, including rights concerning conformity, remedies, unfair terms, and, where applicable, withdrawal.

Consumers may bring proceedings in the courts of the country where they habitually reside where applicable consumer law grants that right.

France :

French consumers may access a consumer-mediation procedure free of charge after first submitting a written complaint directly to Eko.

The mediator’s details will be added to the French-language contractual materials and the Services before Eko commercially offers the Services to consumers in France.

Australia :

Australian consumers retain the guarantees provided by the Australian Consumer Law, including applicable remedies for major and non-major failures.

Canada :

Canadian consumers retain all non-waivable rights and remedies under applicable federal, provincial, and territorial law.

For consumers in Québec, Eko will provide the French-language version and any disclosures required by Québec law before seeking agreement to an English-language version.

Changes to These Terms

Eko may update these Terms to reflect changes in the Services, applicable law, safety practices, technology, or business operations.

The “Last Updated” date identifies the latest version.

For material changes, Eko will provide reasonable advance notice through the Services, by email, or by another appropriate method and will request renewed acceptance where required by law.

If you do not agree to updated Terms, you must stop using the Services and cancel any subscription before its next renewal.

General Terms

These Terms, the purchase terms displayed by the applicable App Store, the Privacy Policy, and any additional terms expressly presented for a specific feature constitute the agreement between you and Eko concerning the Services.

If feature-specific terms conflict with these Terms, the feature-specific terms control for that feature to the extent of the conflict.

Other general provisions concerning severability, waiver, assignment, force majeure, third-party beneficiaries, language, export controls, and sanctions also apply as described in the full Terms of Service.
